Terms of Use

Contact us

These Terms of Use ("Terms") are an agreement between Alloy ("Alloy", "we", "us" or "our") and you, the person or business using our website or buying our services. Please read them before you buy anything or send us a brief.

What these Terms cover

Alloy is a one-person studio based in Toronto, Ontario. We build websites, we build automation for work that repeats, and we sell a small number of ready-made business documents. These Terms apply to this website and to everything sold or delivered through it.

Where we agree a project in writing — a scope and a fixed fee — that written agreement governs the project. If anything in it conflicts with these Terms, the written agreement wins for that project.

What these Terms do not cover

We sometimes link to other people's websites and services, and some of our work connects to services you already pay for, such as your hosting, your email provider or your accounting software. Those services are run by other companies under their own terms, and we are not responsible for how they behave, what they charge, or what they do with your data.

Accepting these Terms

By using this website, buying a document, or asking us to start work, you agree to be bound by these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

You must be at least 18 to buy anything from us.

Changes to these Terms

We may update these Terms from time to time. The date at the top shows when they last changed. If a change materially affects work we are already doing for you, we will tell you directly rather than expecting you to notice. Continuing to use the site or our services after a change means you accept the updated Terms.

Quotes, prices and payment

Prices shown on this website are a starting point. Project work is quoted as a fixed fee against a written scope before any work begins, and that number does not change unless the scope changes and you agree to it in writing. We do not bill hourly and we do not issue open-ended estimates.

Invoices are payable on the terms stated on the invoice, which is normally Net 15 from the date of issue. Prices for the ready-made documents are shown on their product pages and are invoiced when you order.

Delivery

Ready-made documents are ordered by email. Tell us which one you want, we send an invoice, and the file follows by email once payment clears — usually the same day. There is no account to create and no checkout to go through.

Project work is delivered on the timeline stated in your written scope. Most projects run one to three weeks from the discovery call. Larger builds take longer, and we tell you that before you commit rather than afterwards.

Refunds

Because the ready-made documents cannot be returned once sent, they are non-refundable after delivery. If a file will not open, or is not what the product page described, tell us and we will fix it or refund it.

For project work, anything already delivered is payable. If we cancel a project before delivery, you pay only for work completed to that point. Nothing here removes rights you have under Ontario consumer protection law.

Licence for the ready-made documents

Buying a document gives you a licence to use it inside your own business, on as many of your own projects and clients as you like. You may edit it, restyle it, rebrand it and make it unrecognisably yours.

  • You may not resell, redistribute, sub-license or give the file away, edited or not.
  • You may not publish it as your own template product, or include it in a product you sell.
  • The licence is for one business. If you have a second business, buy a second licence.
  • Editing a document does not create a new work you are free to distribute — this licence follows the result.

Who owns project work

For websites and automations, once the final invoice is paid, the code, the files, the configuration and the documentation are yours. You may run them, change them, move them and hand them to another developer without asking us. Nothing is locked to a platform of ours.

We keep ownership of our own general tooling, libraries and methods — the things we bring to every project and would use again on the next one. That never includes your content, your data or anything built specifically for you.

Until the final invoice is paid, ownership stays with us and you have a licence to review the work but not to put it into production.

What we need from you

Projects run to time when the things we ask for arrive when we ask for them: content, images, access to systems, and answers to questions. Where a delay comes from your side, the timeline moves by at least the length of that delay.

You are responsible for the accuracy and the legality of the content you supply, and for having the right to use any images, text, fonts or data you give us.

Support after delivery

Automations include one month of support and changes from the date of handover. Websites include four weeks from launch. During that window, fixes and small changes are covered.

After an automation's included month, ongoing support is available at $100 per instance. It is optional, it applies only to the instances you ask us to support, and work outside its scope is quoted separately. For websites, changes after the included period are quoted as new work.

Third-party services and costs

Our work often runs on services you hold in your own name — hosting, domains, email, storage, and in some cases paid interfaces to other software. Those subscriptions and usage costs are yours, are not included in our fee, and can change without notice from the provider.

We tell you what a project will need before you commit, so there are no surprise dependencies.

Your data

Your data stays in your systems. Where a project involves a language model, we use business tiers that do not train on your inputs, we send only what the task requires, and we can keep sensitive fields out of the request entirely.

We treat anything you share with us in the course of a project as confidential, and we do not pass it to anyone else without your say-so.

Showing the work

We may describe work we have done in a portfolio or case study. We will not name you, show your material or publish figures about your business without asking you first, and we will remove anything you later ask us to remove.

Acceptable use

When using this website or anything we have built for you, you agree not to:

  • Use it for anything unlawful, or in a way that breaks a law that applies to you.
  • Attempt to gain access to systems, accounts or data you are not entitled to.
  • Copy, scrape or reverse engineer this website or our products to get around a licence.
  • Remove or obscure ownership or licence notices in files we supply.

Intellectual property

The Alloy name, this website, its text, its imagery and our product files are ours, and remain ours. Buying a product or commissioning a project grants you the licence described in these Terms and nothing more.

If you believe something on this site infringes your copyright, email us with the detail and we will investigate promptly.

Warranties

We build carefully, test against real data, and document what we deliver. What we cannot do is promise a business outcome. We do not guarantee any particular level of sales, traffic, ranking, saving or success.

Except as expressly stated in these Terms or in a written project agreement, our services and products are provided as they are, without further warranty of any kind, to the fullest extent the law allows.

Limitation of liability

To the extent the law allows, Alloy is not liable for indirect or consequential loss, including lost profit, lost data, lost business or interruption of business.

Our total liability for any claim connected to a project or a product is limited to the amount you actually paid us for it.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for personal injury caused by negligence.

Indemnity

You agree to cover us against claims and costs arising from content you supplied, from your use of what we delivered in a way the scope did not cover, or from your breach of these Terms.

Ending the agreement

Either of us may end a project in writing. You pay for work completed to that point, and we hand over what has been paid for.

We may suspend or refuse service if these Terms are being broken. Where it is reasonable to do so, we will tell you why first and give you a chance to put it right.

Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it. The courts of Ontario have jurisdiction.

Before anyone involves a court, please email us. Most disagreements come from a misunderstanding about scope, and almost all of them are quicker to fix in a conversation than in a filing.

General

If any part of these Terms is found unenforceable, the rest continues to apply. If we do not enforce a term on one occasion, that does not mean we have given it up.

You may not transfer these Terms to someone else without our written agreement. Together with any written project agreement, these Terms are the whole agreement between us.
